These Terms of Service (“Terms”) govern your access to and use of Socialix, operated by The Lucas Agency GmbH (“Socialix”, “we”, “us”). By creating an account or using the service you agree to these Terms. If you do not agree, do not use the service. Our company details are set out in the Impressum.
1. The service
Socialix is a content creation and organization tool. It lets you turn links to social media content into branded posts using templates, optional AI-assisted text and imagery, and delivers the results to destinations you connect (such as Telegram or Discord). Socialix is not a scheduling or auto-posting service and is not affiliated with any social media platform.
2. Eligibility
You must be at least 16 years old to use Socialix. By using the service you represent that you meet this requirement and that, where you use the service on behalf of an organization, you are authorized to bind that organization to these Terms.
3. Accounts
You need an account to use most features. You are responsible for the accuracy of your registration details, for safeguarding your credentials, and for all activity under your account. Notify us promptly of any unauthorized use. Authentication is provided through our authentication processor (see the Privacy Policy).
4. Acceptable use
Your use of Socialix is subject to our Acceptable Use Policy, which is incorporated into these Terms. We may remove content and suspend or terminate accounts that violate it.
5. Your content and the rights you grant
“Your Content” means the links, files, text, media, and other material you submit to the service or generate with it. You retain all rights you hold in Your Content. You grant us a limited, non-exclusive, worldwide licence to host, process, transmit, and display Your Content solely to operate and provide the service to you (including downloading the source media you reference, rendering outputs, and delivering them to your connected destinations).
You are solely responsible for Your Content.You represent and warrant that you own or have all necessary rights, licences, and permissions to the source content you reference and to the outputs you create and distribute, and that your use does not infringe any third party's rights or violate any platform's terms of service or applicable law.
6. Third-party platforms and source content
Socialix can retrieve publicly available media from third-party platforms that you specify by link. Those platforms have their own terms which may restrict access to or use of their content. You are responsible for ensuring that your use of the service, and your use of any source content, complies with those terms and with applicable law. We may add, change, or remove supported sources at any time, and a source may become unavailable for reasons outside our control.
7. AI-generated content
Some features use generative AI to create or modify text and imagery. AI output can be inaccurate, misleading, or unintended, and is provided without warranty. You are responsible for reviewing AI output before you publish or distribute it. Where required by law, AI-generated or AI-manipulated content must be labelled as such; you must not remove or defeat any such labelling we apply, and you are responsible for any additional disclosures your own distribution requires.
8. Plans, credits, and payment
Socialix offers free and paid plans and consumable credits. Paid plans and credit purchases are processed by our payment processor. Plan fees recur for the billing period you select until cancelled. Credits included with a plan are granted per billing period; purchased top-up credits do not expire. Operations that consume external resources draw down credits; a failed operation is not charged. Prices are shown on our Pricing page inclusive of applicable VAT. Cancellations, the statutory right of withdrawal, and refunds are governed by our Refund Policy.
9. Our intellectual property
The service itself — including its software, design, templates we provide, trademarks, and the “Socialix” name — is owned by us or our licensors and is protected by law. These Terms grant you no rights in it except the limited right to use the service as permitted here.
10. Availability and changes
We aim for high availability but do not guarantee that the service will be uninterrupted or error-free, except where a specific service level is separately agreed in writing. We may modify, suspend, or discontinue features at any time. We may update these Terms; we will give appropriate notice of material changes, and your continued use after they take effect constitutes acceptance.
11. Warranties
Statutory warranty rights for consumers remain unaffected. Beyond those mandatory rights, the service is provided “as is” and “as available” without further warranties to the extent permitted by law.
12. Limitation of liability
We are liable without limitation for intent and gross negligence, for injury to life, body, or health, under the German Product Liability Act (Produkthaftungsgesetz), and to the extent of any guarantee we have given. For slight negligence we are liable only where we breach a material contractual obligation (an obligation whose fulfilment makes proper performance of the contract possible and on whose observance you may regularly rely), and in that case our liability is limited to the foreseeable damage typical for this type of contract. Any further liability is excluded. These limitations also apply in favour of our legal representatives and agents.
13. Indemnity
To the extent permitted by law, and except where you are a consumer acting outside any trade or profession, you will hold us harmless from third-party claims arising out of Your Content or your breach of these Terms, including reasonable legal costs.
14. Term and termination
You may stop using the service and delete your account at any time from your account settings. We may suspend or terminate your access for breach of these Terms or the Acceptable Use Policy, for legal reasons, or to protect the service or other users. The right of either party to terminate for good cause remains unaffected. Provisions that by their nature should survive termination (e.g. content rights you granted for already-processed content, liability, and governing law) survive.
15. Data protection
We process personal data as described in our Privacy Policy.
16. Governing law and jurisdiction
These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer, this choice of law does not deprive you of the protection of mandatory provisions of the law of your country of residence. Where you are a merchant, a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction is our registered seat.
17. Severability
If any provision of these Terms is or becomes invalid, the validity of the remaining provisions is unaffected.
